Общество с ограниченной ответственностью « именуемое в дальнейшем «Заказчик», в лице Генерального директора , действующего на основании Устава, с одной стороны, и __________________________________, именуемое в дальнейшем «Исполнитель», в лице _________________________________, действующего на основании Устава, с другой стороны по отдельности именуемые в дальнейшем «Сторона», а совместно – «Стороны», заключили настоящий договор (далее – «Договор») о нижеследующем: Настоящий договор заключен на условиях тендерной документации Заказчика и тендерного предложения Исполнителя. При этом Стороны признают, что если в ходе исполнения договора будет выявлено, что по каким-либо причинам в тендерном предложении Исполнителя имеются несоответствия требованиям тендерной документации Заказчика, то определяющими (приоритетными) условиями исполнения настоящего договора являются требования тендерной документации Заказчика. Термины и определения: СТУ – специальные технические условия. Классификационное общество – учреждение, занимающееся надзором за выполнением работ по Договору и согласованием выполнения работ. Номинированный субподрядчик – лицо, привлекаемое Заказчиком для выполнения определенного объема работ, с которым Исполнитель заключет договор субподряда/оказания услуг. Надзорные органы – органы государственной власти, классификационное общество, осуществяющие надзор за выполнением работ по Договору в рамках своих полномочий. Отчетные материалы – документы, содержащие результат выполнения работ и подтверждающие факт выполнения работ в письменной и/или электронной форме (в том числе отчеты, консультации, графики, схемы, расчеты, презентации (в формате word, excel, powerpoint) или иные документы, согласованные Сторонами). НОПРИЗ – национальное объединение изыскателей и проектировщиков. ГИП – главный инженер Проекта.	Limited Liability Company hereinafter referred to as the Customer, represented by General Director acting under the Charter, of the one part and __________________________________, hereinafter referred to as the Contractor, represented by __________________________, acting under the Charter, of the other part, hereinafter individually referred to as the “Party” and collectively as the “Parties”, signed the present contract (hereinafter referred to as the Contract) as follows: This Contract is concluded on the terms of the Customer’s tender documentation and the Contractor’s tender offer. At the same time, the parties acknowledge that if during the execution of the contract it is revealed that for any reason the Contractor’s tender offer contains inconsistencies with the requirements of the Customer’s tender documentation, then the requirements of the Customer’s tender documentation are the determining (priority) conditions for the execution of this Contract. Terms and definitions: PSTS –Project Specific Technical Specifications. Classification authority – an institution that supervises the performance of Work under the contract and coordinates the performance of work. Nominated subcontractor – a person engaged by the Customer to perform a certain amount of work, with which the Contractor enters into a subcontract/service agreement. Supervisory authorities – public authorities, classification society that exercise supervision over the performance of work under the Contract within their powers. Reporting materials – documents containing the result of work performed and confirming the fact of work performed in written and/or electronic form (including reports, consultations, graphs, diagrams, calculations, presentations (in word, excel, PowerPoint format) or other documents agreed by the parties). NRSD – the National register of surveyors and designers. PCE – the Project Chief Engineer.
1. Предмет договора	1. Subject of the Contract
1.1. Исполнитель обязуется выполнить работы по разработке проектной документации на обустройство месторождения им. Ю.С. Кувыкина (первая стадия освоения) (далее – «Работы»), а Заказчик обязуется принять и оплатить выполненные Работы. Исполнитель является Генеральным проектировщиком объектов обустройства месторождения им. Ю.С. Кувыкина (первая стадия освоения), не включая работы, выполненные сторонними организациями, привлекаемыми не Исполнителем. При выполнении работ Исполнитель должен применять степень квалификации, заботы, осмотрительности и суждения, которые разумно ожидаются от компетентной и опытной международной инженерной организации, вовлеченной в выполнение работ таких же или аналогичных как и настоящих Работ при тех же или аналогичных обстоятельствах.	1.1. The Contractor shall perform work on elaboration of the PROEKT documentation for development facilities of Y. Kuvykin field (first phase of exploration), (hereinafter referred to as “Works”), and the Customer shall accept and pay Works performed. The Contractor shall be the General Designer of the development facilities of Yu. Kuvykin field (first phase of exploration), not including any works completed by others are not the selected Contractor. In the performance of the Works the Contractor shall exercise the degree of skill, care, diligence and judgement which would reasonably be expected to be observed by a competent and experienced international engineer engaged in carrying out activities the same as or similar to the Works under the same or similar circumstances.
